4. How We Protect Your Information
4.1 Technical Safeguards

4.2 Organizational Safeguards

- check_circleAccess to Client Data is granted on a strict need-to-know basis.
- check_circleWe maintain a documented incident response plan for data security events.
- check_circleEmployees receive regular security awareness training.
4.3 Third-Party Provider Security
Client Data processed through Third-Party Software Providers (AI voice and CRM platforms) is subject to those providers' security practices. We select providers that maintain industry-recognized security certifications and we review their security posture periodically. However, we cannot guarantee the security practices of third-party systems beyond our direct control.
4.4 Data Breach Response
In the event of a confirmed security breach affecting Client Data within our direct control, we will: (a) contain and investigate the breach; (b) notify affected clients within 72 hours of confirmation to the extent permitted by law; (c) provide information about the nature of the breach, data affected, and remediation steps; and (d) cooperate with regulatory authorities as required.
No security system is completely impenetrable. While we implement robust protections, we cannot guarantee absolute security of your data. You are responsible for maintaining the security of your account credentials.
5. How We Share Your Information
We do not sell your personal information. We share information only in the following circumstances:
- check_circleService delivery: with Third-Party Software Providers (AI voice, telephony, CRM platforms) strictly as necessary to provide the Bundled Service.

- check_circleFraud prevention: with fraud detection services and law enforcement when necessary to prevent or investigate fraud or security incidents.

6. Data Retention
We retain your personal information for as long as your account is active or as needed to provide the Bundled Service. Upon termination:

- check_circleAfter 30 days, Client Data is permanently deleted from our active systems.
- check_circleBilling records and contract data are retained for 7 years to comply with financial and legal recordkeeping requirements.
- check_circleAnonymized/aggregated usage data may be retained indefinitely for analytics purposes.
- check_circleData subject to legal hold, litigation, or regulatory investigation is retained until the matter is resolved.
7. Your Rights & Choices
Depending on your location and applicable law, you may have the following rights regarding your personal information:

VIRTUALIFY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. VIRTUALIFY DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUALIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 19. Indemnification
You agree to indemnify, defend, and hold harmless Virtualify LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the website or services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your violation of any third-party right; or (d) any content you submit through the website.
20. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute arising under these Terms shall first be subject to 30 days of good-faith negotiation. Unresolved disputes shall be submitted to binding arbitration under AAA Commercial Arbitration Rules in Cook County, Illinois. Either party may seek emergency injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

3. Telemarketing & Calling Compliance Notice
Users of Virtualify's outbound calling features must independently comply with all applicable federal laws, including:

Virtualify's AI Virtual Assistant is powered by third-party artificial intelligence technology. AI systems are inherently imperfect and may produce inaccurate, incomplete, misleading, or unexpected outputs. Virtualify does not warrant that the Virtual Assistant will:

- check_circleHandle all edge cases or unusual conversational patterns.

Client is solely responsible for reviewing, testing, and monitoring all AI outputs and maintaining appropriate human oversight of all Virtual Assistant activity.
Virtualify makes no representation or warranty that use of the Bundled Service will result in any particular business outcome, including increased leads, appointments, revenue, or customer satisfaction. Results will vary based on your business, market, call quality, scripts, and other factors outside Virtualify's control.
The Bundled Service incorporates third-party AI voice, telephony, and CRM software. Virtualify does not control the performance, uptime, features, pricing, or continued availability of third-party technology. Virtualify is not liable for service degradation, outages, data loss, or other harm arising from third-party technology changes or failures.
5. Intellectual Property Notices
The "Virtualify" name, logo, and all related brand elements are trademarks of Virtualify LLC. All rights reserved. Unauthorized use of Virtualify trademarks is strictly prohibited.
All website content, software, documentation, and materials produced by Virtualify are protected by U.S. and international copyright law. Reproduction, distribution, or derivative use without express written permission is prohibited. Third-party product names, trademarks, and logos referenced on the Virtualify website are the property of their respective owners. Reference to third-party products does not imply endorsement or affiliation.
6. DMCA Notice & Takedown Policy

Virtualify's services may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and sanctions programs administered by the Office of Foreign Assets Control (OFAC). You represent and warrant that: (a) you are not located in, organized under, or a national of any country subject to U.S. embargo or sanctions; (b) you are not on any U.S. government restricted party list; and (c) your use of Virtualify's services complies with all applicable export control and sanctions laws.
9. Anti-Spam & Acceptable Use Legal Notice
Use of Virtualify's platform to send unsolicited commercial messages, conduct phishing, or engage in any form of abuse is strictly prohibited and may violate federal and state law, including the CAN-SPAM Act, TCPA, and applicable state laws. Virtualify reserves the right to immediately suspend or terminate service for any user engaged in abusive, illegal, or harmful use of the platform. Virtualify may report abusive use to relevant regulatory authorities.
10. Dispute Resolution & Class Action Waiver
Any dispute, claim, or controversy arising from or relating to the Virtualify website or services shall be resolved through binding individual arbitration, not in court. You waive any right to participate in class action litigation or class-wide arbitration. This class action waiver is a material term of your agreement to use Virtualify's services. If the class action waiver is found unenforceable, the arbitration agreement shall be null and void with respect to that claim only.
To initiate arbitration, send written notice to info@virtualify.net. Arbitration will be conducted under AAA Commercial Arbitration Rules in Cook County, Illinois, under Illinois law.

Terms of Service

By accessing or using Virtualify (the “Services”), you agree to these Terms of Service. If you do not agree, do not use the Services.
2. User Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
3. Service Scope
Virtualify provides AI-powered receptionist capabilities and workflow automation features. We may update, add, or remove features to improve reliability, security, and performance.
4. Acceptable Use
You agree not to misuse the Services. This includes attempting to access non-public areas, interfering with normal operation, abusing rate limits, or using the Services to violate laws or third-party rights.

5. Subscription Billing

6. AI & Call Handling
If you connect phone lines or enable call-related features, you are responsible for providing legally required disclosures and obtaining any required consents (including for recording, transcription, and AI processing). Output may be imperfect and should be reviewed when used for critical decisions.
7. Third-Party Services
The Services may integrate with third-party products (for example CRMs, calendar providers, phone carriers, or analytics tools). Your use of third-party services is governed by their terms and policies, and we are not responsible for third-party outages or changes.
8. Termination
You may stop using the Services at any time. We may suspend or terminate access if we reasonably believe there is misuse, security risk, non-payment, or violation of these Terms. Termination does not limit rights or obligations that by their nature should survive.
9. Disclaimers & Liability
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Virtualify disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Virtualify will not be liable for indirect, incidental, special, consequential, or punitive damages.

Part I — SMS Privacy Policy
We will NEVER sell, rent, trade, or share your mobile phone number with third parties for their own marketing purposes.
2. Information We Collect for SMS
When you opt in to receive SMS messages from Virtualify, we collect:

7. Your Rights Regarding SMS Data

You may request a copy of the SMS-related data we hold about you, or request deletion of your data (subject to legal retention requirements), by contacting info@virtualify.net.
If you have previously opted out and wish to receive SMS messages again, you may re-opt in through our website or by texting START to our designated number.
Part II — SMS Terms of Service
8. Consent & Opt-In
By providing your mobile phone number and opting in to Virtualify's SMS program — whether through a web form, verbal agreement, written form, or other opt-in method — you expressly consent to receive text messages from Virtualify LLC at the number provided. Consent is not a condition of purchasing any product or service.
By opting in, you agree to receive:

- check_circleMessages that may be sent using automated dialing technology or pre-written templates
- check_circleRecurring messages at a frequency described in the SMS Program Overview
- check_circleMessages related to your account, Virtualify services, or promotional campaigns you have opted into
Virtualify maintains records of all opt-in consents, including the date, time, source, and exact consent language presented at the time of opt-in. These records are available upon request and are maintained for compliance purposes.
9. Regulatory Compliance

The Virtualify SMS program may not be used to send messages that:

- check_circleContain or promote illegal products, services, or activities
- check_circleInclude hate speech, harassment, threats, or abusive content
- check_circleContain adult content, gambling content, or controlled substance advertising
- check_circleAre sent to individuals who have not provided valid opt-in consent
- check_circleAre sent to numbers on the National DNC Registry without a valid exemption
- check_circleViolate TCPA, CTIA guidelines, or carrier acceptable use policies
11. Opt-Out & STOP Keywords
Virtualify honors the following standard SMS opt-out and control keywords:

13. Carrier Disclaimer
Virtualify LLC and its SMS platform providers are not responsible for delayed or undelivered messages. Message delivery is subject to mobile carrier network availability, coverage, and policies.
14. Children's Policy
Virtualify's SMS program is intended for business use and is not directed at individuals under the age of 18. If you believe a minor has been enrolled, contact info@virtualify.net and we will remove them promptly.
15–19. Liability, Indemnification & Updates
Virtualify reserves the right to update this SMS Privacy Policy & Terms of Service at any time. Material changes will be communicated via SMS notification or email at least 30 days before taking effect. Appendix A — SMS Compliance Checklist
This checklist helps ensure every Virtualify SMS campaign meets compliance requirements before launch.
